  6. On 30 April 1995 Internet Society members will be requested to vote for
  7. FOUR elected positions on the Internet Society Board of Trustees. These
  8. elected Trustees will serve a three year term. The role of the Trustees
  9. is detailed in the Internet Society By-Laws (not included in this
  10. notice), but available on the Internet Society gopher
  11. (gopher://gopher.isoc.org/00/isoc/basic_docs/bylaws.txt) and WWW
  12. servers (http://www.isoc.org).

  14. This notice is a call from the ISOC Nominations Committee for
  15. nominations of candidates for election.

  42. Nominations are to reach the committee no later than 31 December 1994 in
  43. order to ensure due consideration of the nomination by the committee.
  44. Nominations (in the form of agreed nominations, suggestions or
  45. volunteers) are to include the name of the nominated individual, contact
  46. details and a brief explanation of the basis of the nomination.
  47.  
  48. The  committee will confirm with the candidates their willingness to
  49. stand for election as a nominated candidate if so selected. Nominees 
  50. will also be requested to provide the committee with further personal 
  51. details (in the format of a curriculum vitae) as they relate to the 
  52. selection guidelines that are to be applied by the committee, and provide 
  53. to the committee a statement indicating their willingness and ability to 
  54. devote an appropriate level of time to activities associated with the 
  55. position of Trustee of the Internet Society. It is intended that the 
  56. committee's selection process will result in no less than 8, and up to 
  57. 10 candidates for election as nominated candidates.This list will  be 
  58. passed to the Elections Committee on 15 January 1995, as well as 
  59. informing voting members of the Society of the selected nominees.
  60.  
  61. Additional candidates for election to the Board of Trustees may be
  62. nominated by membership petition, filed with the Chair of the Nominating
  63. Committee no later than 14 February, 1995. A petition for the 1995
  64. election will require the signatures of fifty voting ISOC members. Specific
  65. details of the petition process will be included in the announcement of 
  66. nominated candidates on 15 January 1995.

  68. Following the closure of the petition period, the list of the nominated
  69. and petitioned candidates will be announced 15 February, 1995.  The 
  70. Election Committee will mail the ballots out to ISOC voting members
  71. on 1 March, 1995 and the election date is set to be 30 April 1995.

  94. B. Nominations Committee Selection Guidelines
  95. Candidates for ISOC Trustee should have a demonstrable involvement
  96. in the Internet. Such involvement may range from  participation as a
  97. technology
  98.    developer, researcher, user, network operator, policy maker (e.g. in
  99.    government), sponsor of research and development.
  100.  
  101.    ISOC is interested in broadly-based representation on the Board of
  102. Trustees
  103.    and seeks to identify candidates from industry, education and non-
  104. profit
  105.    sectors and from government. The selection criteria will be directed
  106. to
  107.    selecting a broad range of interests, and will include criteria of
  108. regional
  109.    location,  current activities, relevant experience and professional
  110.    background.
  111.  
  112.    A minimum of 8 candidates, and up to 10 candidates, will be selected
  113. by
  114.    this committee, using the criteria as outlined above.

  163. Resolution 94-19 Procedures for Nomination and Election of Trustees
  164. (Supersedes Resolution 92-11)
  165. The Board resolved unanimously to adopt the following process for the
  166. nomination and election of ISOC Trustees.

  168. Procedures for Nomination and Election of Trustees
  169.  
  170. 1. Trustee Positions to be Filled
  171.  
  172. The Board of Trustees will advise the Nominating Committee of the
  173. number of Trustee positions to be filled by vote of the individual
  174. members at each annual election.  The Board may also advise the
  175. Nominating Committee of its desires with respect to the backgrounds of
  176. individuals to be nominated in order to achieve the balance of
  177. experience and qualifications required by the provisions of By-Law
  178. Article III, Section 2, which provides that "the Board shall seek to
  179. have among the Trustees representative individuals from industry, from
  180. educational and nonprofit organizations and from government."
  181.  
  182. 1.1  Date of Election
  183.  
  184. The Board of Trustees will annually adopt a timetable for Trustee
  185. elections.  The election date shall be not less than 40 days prior
  186. to the next Annual Meeting of the Society.
  187.  
  188. 1.2  Use of Electronic Mail
  189.  
  190. All communications concerning the nomination and election of
  191. Trustees shall be in the form of electronic mail except the
  192. ballot, which shall be in the form of first class postal mail.
  193. Members of the Society who are not reachable by electronic mail
  194. may participate in the nomination process by postal mail.
  195.  
  196. 2.  Nominating Committee
  197.  
  198. The Board of Trustees will annually appoint a Trustee Nominating
  199. Committee.  The Nominating Committee will consist of 5
  200. individual members of the Society.  The Chair of the Nominating
  201. Committee shall be a member of the Board of Trustees.  At least
  202. 2 members of the Nominating Committee shall be individual
  203. members of the Society not currently serving in any elected or
  204. appointed capacity in the Society.
  205.  
  206. 2.1  Nominations by Committee
  207.  
  208. The Nominating Committee will notify the members of the Society of
  209. the procedures for nominating individuals for election to the
  210. Board of Trustees, and will provide a minimum period for receiving
  211. nominations of 30 days.  The number of individuals nominated
  212. shall exceed the number of Trustees to be elected.
  213.  
  214. 2.2  Nominations by Petition
  215.  
  216. The Nominating Committee will notify the voting members of the
  217. Society of the names of individuals nominated by the committee for
  218. election to the Board of Trustees not less than 105 days prior to
  219. the date established for Trustee elections.  Additional
  220. nominations for election to the Board of Trustees may be made by
  221. petition filed with the Chair of the Nominating Committee not less
  222. than 75 days prior to the election.  Petitions may be filed
  223. electronically.  The Nominating Committee shall specify the number
  224. of signatures of voting members required for petitions, which
  225. shall be at least fifty voting members of the Society, or 1%
  226. of the total number of voting members of the Society, whichever is
  227. greater.
  228.  
  229. 2.3  Candidates for Election
  230.  
  231. The Nominating Committee will provide the names of a completed
  232. slate of candidates for election to the Elections Committee not
  233. less than 74 days prior to the election date.
  234.  
  235. 3.  Elections Committee
  236.  
  237. The Board of Trustees will annually appoint an Elections Committee
  238. composed of three voting members of the Society which will be
  239. responsible for establishing and supervising elections.
  240. The Chair of the committee shall be a Trustee whose term of office
  241. does not expire during the year of the election.
  242.  
  243. 3.1  Eligibility to Vote
  244.  
  245. All individual members of the Society in good standing are
  246. eligible to vote.  An individual member is in good standing if his
  247. or her annual dues are not more than 60 days past due on the date
  248. of mailing of the ballot.
  249.  
  250. 3.2  Ballot
  251.  
  252. The Trustee election shall be conducted by written ballot of the
  253. individual members, which shall be mailed to each member of the
  254. Society in good standing not less than 60 days prior to the
  255. date of the election.
  256.  
  257. 3.3  Voting
  258.  
  259. Each voting member will be entitled to as many votes as there are
  260. Trustee positions to be filled by vote of the members.  Votes may
  261. be cumulated on behalf of one or more candidates for election.  A
  262. member may use fewer than the total number of votes available if
  263. he or she so chooses.
  264.  
  265. 3.4  Receipt of Ballots
  266.  
  267. All ballots for Trustee elections shall be received by the Chair
  268. of the Elections Committee by 5 PM local time on the day prior to
  269. the date of the election, at the place established by the
  270. Elections Committee for delivery of the ballots.
  271.  
  272. 3.5  Counting of Ballots
  273.  
  274. The counting of ballots will take place on the election date, at a
  275. time and place established by the Elections Committee.  At least
  276. two members of the Elections Committee shall be present at the
  277. counting of the ballots.  The committee will establish procedures
  278. to ensure the privacy, validity and accuracy of all ballots.
  279.  
  280. 3.6  Certification of Vote
  281.  
  282. The Elections Committee shall certify the results of the annual
  283. Trustee election to the Board of Trustees within 10 days following
  284. the election, forwarding a list of the candidates and the number
  285. of votes each candidate has received.
  286.  
  287. 3.7  Challenges
  288.  
  289. No challenge to any Trustee nomination or election procedure or
  290. result may be brought except by an individual member in good
  291. standing.  Any challenge must be addressed to the President of the
  292. Society with a recital of the reasons for the challenge, and must 
  293. be received within 20 days of the election date.  The President,
  294. after consultation with the Chairs of the Nominating and Elections 
  295. Committees and the members of the Board of Trustees, shall advise 
  296. the author of the challenge of the Board's decision, which shall be 
  297. final, within 40 days of the election date.

  299. Resolution 94-20 1995 ISOC Nomination and Trustee Election Timetable
  300. The Board resolved unanimously to adopt a Timetable for the 1995 Trustee
  301. nomination and election process in accordance with the procedures of
  302. Resolution 92-19 commencing with the opening of the Nominations period
  303. on December 1 1994. The Timetable to be adopted is as follows:
